These terms and conditions (“Terms”) govern your access to and use of the Paymatriix website, platform, mobile apps and related services (together, the “Services”). By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of a business, you confirm that you have authority to bind that business to these Terms.
1. The Services
Paymatriix provides cloud-based payroll, instant pay, tax filing, time tracking, HR and related tools. We may add, change or remove features from time to time. Where a change materially reduces the Services you have paid for, we will give you reasonable notice.
2. Your account
- You must provide accurate, complete and current information when you sign up and keep it up to date.
- You are responsible for keeping your login details secure and for all activity under your account.
- You must tell us promptly if you suspect unauthorized access to your account.
3. Your responsibilities
You are responsible for the accuracy of the employee, wage, time, tax and banking information you submit. You must fund payroll on time and ensure you have sufficient funds available for each pay run. You remain responsible for your obligations as an employer under applicable employment and tax laws.
4. Fees and payment
Fees are set out on our pricing page or in your order form. Unless stated otherwise, fees are billed in advance on a monthly or annual basis and are exclusive of applicable taxes. We may change our fees with at least 30 days’ notice. Late or failed payments may result in suspension of the Services.
5. Payments and money movement
Payroll payments are processed through our banking and payment partners. Payment timing depends on when you approve payroll, when funds are received, and banking cut-off times. We are not responsible for delays caused by incorrect information, insufficient funds or the actions of third-party financial institutions.
6. Acceptable use
You agree to use the Services only for lawful business purposes and in line with our usage policy.
7. Intellectual property
We own all rights to the Services, including software, design, trademarks and content. You keep ownership of the data you submit. You grant us a limited licence to use that data only to provide, secure and improve the Services.
8. Data protection
We handle personal information as described in our privacy policy. Where we process employee data on your behalf, we act as your service provider and process it only on your instructions.
9. Term and termination
These Terms apply until your account is closed. You may cancel at any time from your account settings. We may suspend or end your access if you materially breach these Terms, fail to pay, or use the Services unlawfully. After termination you can request an export of your data for 90 days.
10. Warranties and disclaimers
We will provide the Services with reasonable skill and care. Except as expressly stated in these Terms, the Services are provided “as is” and we disclaim all other warranties to the extent permitted by law.
11. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental or consequential losses, or loss of profits, revenue or data. Our total liability under these Terms is limited to the fees you paid us in the 12 months before the claim arose.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services before they take effect. Continued use of the Services means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Paymatriix is registered, without regard to conflict of law rules.
